Ketchikan Cruise Ship Dock Partner Files Lawsuit Over Alleged Breach of Contract
A lawsuit has been filed in Anchorage Superior Court by Power Systems and Supplies of Alaska LLC (PSSA) against its partner, Fairbanks-based Godspeed Inc., regarding their joint venture, the Ward Cove Dock Group. This partnership operates The Mill at Ward Cove cruise ship dock and visitor welcome center in Ketchikan.
PSSA alleges that Godspeed has breached their operating agreement by unilaterally taking control of the company and appointing John Binkley as CEO without PSSA’s consent. The lawsuit seeks either the dissolution of the Ward Cove Dock Group or the sale of its assets, along with a request for the court to appoint a neutral receiver to manage the company during the proceedings.
PSSA claims Godspeed has been running WCDG without their involvement, diverting profits and making unilateral decisions, which is against the agreed management structure that requires joint decision-making.
The two companies formed their partnership in 2019, with the goal of constructing a facility for cruise visitors. However, PSSA contends that Godspeed started overstepping its boundaries, especially following health issues faced by one of PSSA’s directors, leading to an alleged breach of the agreed-upon operational governance.
PSSA has urged the court for expedited handling of its request for a temporary restraining order, which was denied in a recent ruling. The lawsuit also discusses prior negotiations for financial backing with cruise lines and the impacts of the COVID-19 pandemic on their operations.
With the cruise ship schedule anticipating over 400,000 passengers for the 2026 season, PSSA hopes to resolve the dispute quickly to avoid negatively impacting operations at the facility.
As of now, neither Godspeed nor Binkley has publicly responded to the complaint. The case emphasizes the importance of adhering to contractual agreements in business partnerships and the complexities that can arise from mismanagement and lack of communication.
