
Former CEO of Norwegian Cruise Line Holdings (NCLH), Frank Del Rio, has initiated the discovery phase in his lawsuit against the company, claiming that it failed to uphold an oral agreement regarding a consulting arrangement after his retirement. This phase began following a complaint he filed on May 5 against NCLH and several former directors.
On June 12, Del Rio submitted a series of document demands in the Circuit Court of the Eleventh Judicial Circuit in Miami-Dade County. The various requests target the company, its former directors—including Russell Galbut, Harry Curtis, and Mary Landry—and the compensation consultant involved in his exit. Del Rio asserts that the company reneged on a promise to extend his consulting contract by two years, valued at approximately $8 million.
The recent filings include requests for various documents including board meeting minutes, drafts of his Transition and Retirement Consulting Agreement (TRCA), and communications with external counsel and proxy advisory firms concerning his compensation. Additionally, there is a subpoena for Korn Ferry, the consulting firm involved, to provide analyses about how the structure of Del Rio’s consulting arrangement might affect shareholder voting outcomes on compensation.
The materials sought also encompass communications related to a claimed nonpayment in February 2026 and a March letter from the company’s attorneys. Furthermore, several requests are aimed at communications with other individuals involved in the company, not officially named in the lawsuit, such as Adam Aron and current director Zilla Byng-Thorne.
